Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Wixflo platform, including our website, dashboard, APIs, and WhatsApp AI assistant services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

Please read them carefully. If you do not agree, do not use Wixflo.

1. Acceptance of Terms

By registering for an account, accessing the dashboard, or connecting your WhatsApp Business number to Wixflo, you confirm that you are at least 18 years of age, have the authority to bind your business to these Terms, and agree to comply with all applicable laws of Jamaica.

2. Description of Service

Wixflo is a WhatsApp-based AI business assistant platform. The Service includes:

• AI-powered automated responses to customer messages on WhatsApp.
• Order management and tracking.
• Appointment and booking management.
• Payment collection and invoicing through integrated payment providers.
• A web-based dashboard for monitoring conversations, orders, and business analytics.

The Service relies on third-party messaging, AI, payment, and data infrastructure providers. Service availability may be affected by these providers.

3. Accounts

You are responsible for maintaining the security of your account credentials. You must provide accurate and complete business information during registration and keep it up to date.

Each account is for a single business entity. You may not share account access with unrelated third parties. You are fully responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Acceptable Use

You agree not to use Wixflo to:

• Send spam, unsolicited messages, or bulk marketing that violates WhatsApp's policies.
• Transmit illegal, harmful, defamatory, or fraudulent content.
• Impersonate any person or entity, or misrepresent your affiliation with a business.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Interfere with or disrupt the integrity or performance of the platform.
• Use the AI assistant to generate content that violates any applicable law or regulation.

Violation of this section may result in immediate account suspension without prior notice.

5. Payment Terms

Wixflo offers the following subscription plans, billed monthly in Jamaican Dollars (JMD):

• Starter: J$35,000/month
• Premium: J$60,000/month
• Enterprise: Custom pricing (contact us)

Subscriptions renew automatically at the beginning of each billing cycle. You may cancel at any time; cancellation takes effect at the end of the current billing period. No pro-rated refunds are issued for partial months.

We reserve the right to adjust pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Payments are processed by our payment processor. By subscribing, you also agree to our payment processor's terms of service.

6. Intellectual Property

The Wixflo platform, including its software, design, branding, documentation, and AI models, is the property of Wixflo and is protected by applicable intellectual property laws.

You retain full ownership of your business data, customer information, and content processed through the Service. By using Wixflo, you grant us a limited licence to process, store, and transmit your data solely to operate the Service on your behalf.

We do not claim ownership of any content your business creates or receives through the platform.

7. Limitation of Liability

To the fullest extent permitted by law:

• Wixflo is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
• We do not guarantee that AI-generated responses will be accurate, appropriate, or error-free. You are responsible for reviewing and supervising automated communications with your customers.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities.
• Our total aggregate liability for any claims arising from the Service shall not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim.

8. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through the dashboard or by contacting us directly.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if continued service is not commercially viable.

Upon termination, your right to access the Service ends immediately. We will retain your data for up to 90 days to allow for export, after which it will be deleted in accordance with our Privacy Policy.

9. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice on the dashboard at least 14 days before the changes take effect.

Your continued use of Wixflo after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree with any modification, you must stop using the Service and cancel your account.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Jamaica. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Jamaica.
